Welcome to Chimplab. These Terms & Conditions (“Terms”) govern your access to and use of the Chimplab website, services, content, and other digital properties.

By accessing our website, contacting us, requesting a quotation, purchasing a service, entering into a project with us, or otherwise engaging with Chimplab, you acknowledge that you have read and understood these Terms and agree to be bound by them.

1. About Chimplab

Chimplab is a creative and digital agency providing services including, but not limited to:

  • Digital marketing
  • Search Engine Optimization (SEO)
  • Social media marketing
  • Paid advertising
  • Website design and development
  • E-commerce development
  • Mobile application development
  • UI/UX design
  • Branding and packaging
  • Content creation
  • Photography and product shoots
  • Video production
  • Other creative, technology, and digital services

The exact services provided to a client will be determined by the applicable quotation, proposal, statement of work, invoice, purchase order, agreement, or written confirmation.

2. Website Use

You may use this website only for lawful purposes.

You must not:

  • Use the website for fraudulent or unlawful activities.
  • Attempt to gain unauthorized access to our systems.
  • Interfere with the operation or security of the website.
  • Introduce viruses, malware, or other harmful code.
  • Copy, reproduce, modify, or distribute website content without authorization.
  • Use our website or content in a manner that infringes the rights of Chimplab or any third party.

We reserve the right to restrict or terminate access to the website where reasonably necessary to protect our website, business, users, or third parties.

3. Service Engagements

Services provided by Chimplab are based on the scope agreed with the client.

The applicable quotation, proposal, agreement, invoice, or statement of work may specify:

  • Deliverables
  • Project timelines
  • Fees
  • Payment schedules
  • Number of revisions
  • Client responsibilities
  • Third-party costs
  • Maintenance or support arrangements
  • Other project-specific conditions

If a matter is not specifically covered by these Terms, the applicable written project agreement or commercial document will govern that matter.

4. Quotations and Pricing

Quotes and proposals are prepared based on the information available to Chimplab at the time of preparation.

Unless specifically stated otherwise, a quotation does not include additional work, third-party charges, taxes, advertising budgets, software licenses, hosting, domain registration, paid plugins, stock assets, or other external expenses.

Any additional work outside the agreed scope may be charged separately after discussion with the client.

5. Payments

Clients agree to make payments according to the payment schedule specified in the applicable quotation, invoice, agreement, or other written communication.

Where an advance payment is required, work may commence only after the applicable payment has been received.

Invoices that remain unpaid after their due date may result in suspension or postponement of services.

Chimplab may also charge applicable taxes or government levies as required by law.

6. Project Timelines

Project timelines are estimates unless a specific completion date has been expressly agreed in writing.

Timelines may be affected by:

  • Delays in receiving information or materials from the client
  • Delayed approvals
  • Changes to project requirements
  • Third-party services
  • Technical issues
  • Force majeure events
  • Other circumstances outside Chimplab’s reasonable control

Chimplab will make reasonable efforts to communicate material delays where practical.

7. Client Responsibilities

The client is responsible for providing accurate and timely information, content, credentials, approvals, brand assets, product information, images, documents, and other materials required to complete the project.

The client represents that it has the necessary rights and permissions to provide such materials to Chimplab.

Chimplab is not responsible for delays resulting from missing, inaccurate, incomplete, or late information or approvals provided by the client.

8. Revisions and Changes

The number of revisions included in a project will depend on the applicable quotation or agreement.

Requests that materially change the original scope may be treated as additional work and may involve additional fees and revised timelines.

9. SEO and Digital Marketing

SEO, paid advertising, social media marketing, and other digital marketing services depend on numerous factors, including search engine algorithms, advertising platforms, competition, market conditions, audience behavior, budgets, website quality, and third-party policies.

Chimplab does not guarantee a particular search ranking, number of leads, sales, revenue, advertising result, or other specific business outcome unless expressly agreed in writing.

Marketing performance may vary between businesses, industries, campaigns, platforms, and time periods.

10. Advertising Budgets

Where Chimplab manages paid advertising campaigns, advertising/media spend paid to platforms such as search engines, social networks, marketplaces, or other advertising providers may be separate from Chimplab’s professional fees.

The client remains responsible for approved advertising budgets unless otherwise agreed in writing.

11. Website and Software Development

Website, application, and software projects may involve third-party technologies, APIs, plugins, frameworks, hosting providers, payment gateways, and other external services.

The availability and operation of such third-party services are subject to their respective terms and policies.

Unless otherwise agreed in writing, ongoing maintenance, hosting, third-party subscriptions, licenses, updates, and technical support may be separate services.

12. Intellectual Property

Unless otherwise agreed in writing, Chimplab retains ownership of its pre-existing intellectual property, including internal tools, processes, methodologies, templates, frameworks, source materials, reusable components, concepts, and know-how.

Rights in final project deliverables will be governed by the applicable agreement and payment status.

Third-party materials remain subject to the applicable third-party licenses.

13. Portfolio and Promotional Use

Unless the client and Chimplab have agreed otherwise in writing, Chimplab may identify completed work and display appropriate project materials in its portfolio, website, presentations, or marketing communications.

Confidential or restricted information will not knowingly be disclosed for promotional purposes without appropriate authorization.

14. Third-Party Services

Chimplab may use or integrate third-party services as part of a project.

Chimplab is not responsible for changes, interruptions, pricing changes, outages, security incidents, policy changes, or discontinuation of third-party services outside its reasonable control.

15. Website Content

Information provided on the Chimplab website is for general informational purposes.

While we make reasonable efforts to keep website information accurate and current, we do not guarantee that all website content will always be complete, accurate, current, or free from errors.

16. Confidentiality

Both parties should take reasonable steps to protect confidential information received in connection with a project.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Chimplab will not be responsible for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.

18. Suspension or Termination

Chimplab may suspend or terminate services where there is:

  • Non-payment
  • Material breach of an agreement
  • Unlawful activity
  • Misuse of our systems
  • Security concerns
  • Repeated failure to provide required project information
  • Another legitimate business or legal reason

Where reasonably appropriate, the client will be notified before suspension or termination.

19. Force Majeure

Chimplab will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, government actions, internet or infrastructure failures, widespread technical outages, war, civil disturbances, strikes, epidemics, or other similar events.

20. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published on this page with a revised “Last Updated” date.

Your continued use of our website or services after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

21. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India.

Subject to applicable law, disputes arising in connection with these Terms or services provided by Chimplab shall be subject to the jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
